These are the terms and conditions upon which Print Pattern Repeat (ABN 82100256625) offers its Service to Designers. There are separate terms and conditions which apply for Buyers.

Print Pattern Repeat will advertise and sell Designs to Buyers through the Site. This is done using licenses, which are set out in detail below. By granting us a license to your Design we will sell (sub-licence) to the Buyer on an exclusive basis. Once a design is sold, it is removed from the Site including all color variations.

Designers must apply to use our Service. If approved, Designers must acknowledge acceptance of these Terms and Condition each time You upload a Design to the Site.

IMPORTANT INFORMATION

Please read this Agreement carefully. By acknowledging your acceptance of this Agreement, a binding legal agreement will be formed between You and PPR.

We also may change this Agreement at any time without prior notice so We recommend that Designers review this Agreement each time you use the Service.

Definitions:

In this Agreement:

“Agreement”	means these terms and conditions
“Colourway”	means the function made available to Designers by PPR to upload Designs in alternative color combinations
“Commission”	means the price payable by PPR to the Designer under this Agreement which is calculated as a percentage of the final pre-tax sale price or as otherwise agreed between PPR and the Designer
“Buyers”	means any entity who uses the Service to purchase a Design.
“Copyright”	means: any copyright under the Copyright Act 1968 (Cth); and any copyright under the law of a country other than Australia; and rights in the nature of or similar to the rights referred to in (i) and (ii) above under the law of Australia or any other country (including future copyright and rights in the nature of or comparable to the rights referred to in (i) and (ii) above
“Design”	means an original piece of the artwork uploaded to the Site by a Designer using the Service.
“Designer”	means any entity approved by PPR to use the Service who is the creator of copyrighted Designs.
“Designer App”	means the Application made available to Designers to use to manage their designer account
“Moral Rights”	means rights of integrity, attribution and other comparable rights which may exist now or in the future in respect of Designs under the Copyright Act 1968 (Cth) or under the law of a country other than Australia.
“PPR”	means Fishead Investments Pty Ltd ATF the Fishead Trust t/a Print Pattern Repeat (ABN 82100256625) also referred to as “We” or “Us”
“Purpose”	means to promote and sub-license the Designs to Buyers
“Service”	means the business conducted by PPR, being the promotion and sub-licensing of Designs to Buyers.
“Site”	means the website at www.printpatternrepeat.com and includes the Designer App.
“Technical Description”	means the type of Design as described by the Designer when using the Service
“Users”	means any person that uses the Service, including both Buyers and Designers.
“Our”	is a reference to PPR
“You” or “Your”	is a reference the Designer

License to use Designs
1. Subject to Clause 1.2 below, the Designer grants an exclusive, irrevocable, perpetual license to PPR to use the Designs for the Purpose on the following conditions:
  1. PPR may not assign the license unless the assignment occurs as a result of PPR selling or transferring the business that provides the Service;
  2. PPR may sub-license the license to provide the Service, however, PPR will only sub-license a Design once in perpetuity;
  3. PPR will pay the Designer the Commission;
  4. PPR will have the entire Copyright in the Designs and any and all rights of action and remedies (whether arising at common law or under statute) in relation to the Designs available to the Designer at the time the Design is uploaded to the Site by the Designer; and
  5. there are no conditions imposed on PPR or the Buyer in relation to the use of the Design other than those stated in this license.
2. The Designer can request PPR to remove Designs from the Site at any time prior to the Designs being purchased by a Buyer. If a Design is removed from the Site at the request of the Designer, this Licence will be terminated.
Designer waiver of moral rights and publicity rights
The Designer acknowledges they have granted PPR a license whereby PPR has the exclusive right (subject to the ability sub-license the right) to the Copyright in the Designs. The Designer consents to PPR, and Buyers:
1. carrying out any activity in respect of the Designs which would otherwise infringe the moral rights of the Designer, and
2. using the Designs with no credit attributable to the Designer.
The Designer waives all rights in relation to attribution.
Designer Warranties
The Designer warrants to PPR that:
1. it is the sole legal and beneficial owner of the Copyright in all Designs uploaded using the Service;
2. it has not licensed, charged, encumbered or assigned any rights in the Designs to any other person;
3. there are no existing or threatened claims or litigation which would adversely affect the Copyright in the Designs;
4. the Designs do not and will not, infringe the copyright of any person;
5. the Designs match the Technical Description chosen by the Designer when uploading the Designs to the Site; and
6. the Designer has the authority to enter into this Agreement.
Conditions for using the Service
1. The Designer agrees to the following conditions when using the Service:
  1. PPR only offers Designs to Buyers on an exclusive basis, the Designer must not produce the Designs or ancillary works created from the Designs;
  2. The Designer must upload any Design uploaded through the Service to any social media account, website or any forum available to a third party, including if that forum is only available to a select number of people (e.g. a private social media account);
  3. The Designer must select the accurate Technical Description of the Design;
  4. The Designer must not canvass, solicit or attempt to entice from PPR any Buyer that has used the Service or interfere or try to interfere with the relationship between PPR and the Buyer;
  5. The Designer must not induce any other person to engage in the acts stated in 4(iii) above;
  6. The Designer must not use the PPR Service or Site to promote the Designer’s own interests;
  7. Designs are only sub-licensed once to a Buyer, including if the Design is available in different versions using Colourway; and
  8. After the Design has been purchased by a Buyer it will be removed from the Site, including all Colourway versions.
2. The Designer acknowledges that:
  1. a breach of 4(i) to (vi) above would cause irreparable harm and significant damage to PPR and that PPR has the right to seek and obtain injunctive relief in connection with any such breach;
  2. the conditions in 4.1 (ii) and (iii) are fair and reasonable and that PPR is relying upon the Designer's acknowledgment of these conditions when providing the Service to the Designer.
Pricing and Payment
1. Designers can nominate the price for the Design.
2. PPR will pay Commissions to the Designer within 7 days of the sale of the design.
3. PPR has the sole discretion to determine the price that Buyers must pay for Designs and to vary prices.
4. If the Designer does not agree with the price that PPR has set for a Design, the Designer may terminate this Agreement, including the license granted to PPR in clause 4. To terminate this Agreement under this clause, the Designer must request PPR to remove all Designs (or the Design in question) from the Site.
Buyer Claims & Designer Indemnity
1. PPR will provide refunds to Buyers in accordance with its obligations under the Australian Buyer Law.
2. Designers agree to comply with the reasonable requests of PPR to facilitate a refund request or deal with a Buyer’s claim.
3. The Designer indemnifies and promises to keep PPR indemnified for any claims arising in relation to a breach by the Designer of the condition in clause 4.1(ii).
The Site is provided “as is”
1. Designers acknowledge that access to the Site is granted by PPR to all Users on an “as is” basis.
2. Whilst we make every reasonable effort to ensure that the information on the Site is up to date and complete, we make no representation or warranty as to the accuracy or reliability of the Site content.
3. PPR does not warrant that the functional aspects of the Site will be uninterrupted or error-free or that the Site, it's content or the server are free of viruses or other harmful components.
4. PPR does not guarantee against third party interference nor that the Site or its content will be compatible with third-party software or hardware other than the file types that PPR says it will accept.
5. PPR is not liable for any issues arising with the Site due to an act of nature, war, terrorism, strike, or another event beyond PPR’s reasonable control.
Intellectual Property Rights in relation to the Site
1. Subject to the license contained in clause 1, PPR retains all ownership rights over all intellectual property (registered or unregistered) available on the Site including, but not limited to, images, designs, artwork, logos, written content, and moral rights.
2. PRP claims Copyright overall content on the Site or is using the content on the Site with the consent of the copyright owners unless otherwise indicated.
License to Users to use the Site
1. PPR grants Users access to the Site through this license. Subject to the license contained in Clause 1 PPR retains all ownership and proprietary rights in the Site and its content and grants Users the non-exclusive, non-transferable, limited right to use the Site for the purpose of using our Service.
2. This license commences upon the User first visiting the Site and continues until termination by PPR or the User. PPR has the discretion to terminate this license immediately and without notice, if a User breaches this license and PPR reserves its right to take action against the User. All rights not specifically granted under this Agreement are reserved by PPR and, as applicable, its licensors.
Limited Liability
1. Without limiting the operation of the Australian Consumer Law, PPR excludes all conditions, warranties, terms, and guarantees otherwise implied by law.
2. Designers use the Service at your own risk and PPR is not liable for any misuse of the Site, or Service by another User.
3. PPR does not provide any guarantee to Designers against third party infringement of Copyright. PPR has the sole discretion to determine whether to take action against a third party if an infringement of Copyright arises
4. Nothing in these terms and conditions excludes or limits PPR’s liability for any liability that cannot be excluded or limited by law.
5. To the extent permitted by law, PPR excludes all conditions, warranties, representations or other terms not expressly provided in these terms and conditions.
6. To the extent permitted by law, PPR shall not be liable for (a) any indirect, incidental, exemplary punitive, or consequential damages of any kind whatsoever; (b) loss of profits, sales, revenue, data, use, goodwill, or other intangible losses; or (c) damages relating to the use of PPR’s Service.
7. To the extent that PPR is found liable under these terms and conditions, such liability will be limited to an amount equivalent to the value of the Design(s) affected by the breach that PPR is found liable for, less Commission paid by PPR to the Designer in relation to the affected Design(s).
Breaches of these terms and conditions
PPR reserves the right to take any of the following action if we reasonably suspect that a breach of this Agreement has been committed by a Designer:
1. issue a formal warning;
2. suspend or prohibit access to the Site;
3. block access to the Site;
4. take legal action,
5. suspend or delete the Designer’s account, and
6. report a matter to law enforcement.
If we suspend or prohibit or block access to the Site, action taken by the Designer to circumvent suspension or prohibition or blocking will be considered as a further breach of this Agreement.
General
If any provision of this Agreement is invalid under any law the provision will be deleted from the Agreement to the extent of the invalidity and the remaining provisions will remain in full force and effect. This Agreement shall be governed by and construed in accordance with the laws of New South Wales and Australia and any claim arising out of this Agreement will be determined in New South Wales.

These are the terms and conditions upon which customers can use the Service offered by Print Pattern Repeat (ABN 82100256625).

Print Pattern Repeat advertises and sell Designs to Customers through the Site. Customers must apply for an account to use the Service. When approved, Customers will be able to purchase Designs on an exclusive basis through a license, which is set out in detail below. Once a Design is purchased, it is removed from the Site including all colour variations.

IMPORTANT INFORMATION

USE OF A DESIGN DISPLAYED ON THE SITE BY A PERSON OTHER THAN A CUSTOMER WHO PURCHASES THE DESIGN IS PROHIBITED. PPR RESERVES RIGHTS TO TAKE ACTION ARISING FROM THE MISUSE OF A DESIGN DISPLAYED ON THE SITE.

Please read this Agreement carefully. By acknowledging your acceptance of this Agreement, a binding legal agreement will be formed between You and PPR.

“Customer”	means any entity who is an account holder, approved by PPR to use the Service to purchase Designs.
“Design”	means an original piece of artwork uploaded to the Site by a Designer using the Service.
“Designer”	means any entity approved by PPR to use the Service who is the creator of copyrighted Designs.
“Moral Rights”	means rights of integrity, attribution and other comparable rights which may exist now or in the future in respect of Designs under the Copyright Act 1968 (Cth) or under the law of a country other than Australia.
“PPR”	means Fishead Investments Pty Ltd ATF the Fishead Trust t/a Print Pattern Repeat (ABN 82100256625) also referred to as “We” or “Us”
“Service”	means the business conducted by PPR, being the promotion and sub- licencing of Designs to Customers.

“Users”	means any person that uses the Service, including both Customers and Designers.

Use of the Service
1. Due to the nature of the products offered, Customers must apply for an account to use the Service.
2. PPR has the sole discretion to approve or decline a Customer’s account application.
3. We will notify Customers by email of the outcome of your application.
4. If approved for an account We will email you confirmation of Your account details and You will have access to the Service.
5. Customers are responsible for maintaining confidentiality of account, username and password information. PPR will not be liable for unauthorised transactions made through a Customer’s account.
Licence to use Designs
1. cUpon purchase of a Design in accordance with Clause (3) below PPR grants an exclusive, irrevocable, perpetual sub-licence to the Customer to use the Design for any purpose.
2. All Designs displayed on the Site are subject to Copyright. Copyright only passes to a Customer when the Design has been paid for.
3. Use of a Design displayed on the Site in any way is prohibited unless the Customer purchases the Design.
Warranties
PPR warrants to the Customer that:
1. it has the authority from the Designer to provide the sub-licence contained in clause (1);
2. it has not licensed, charged, encumbered or assigned any rights in the Designs to any other person;
3. to the best of PPR’s knowledge there are no existing or threatened claims or litigation which would adversely affect the Copyright in the Designs;
4. to the best of PPR’s knowledge the Designs do not and will not, infringe the Copyright of any person;
5. designs are only sub-licensed once to a Customer, including if the Design is available in different versions using Colourway; and
6. after the Design has been purchased by a Customer it will be removed from the Site, including all Colourway versions.
Purchasing a Design
1. Design specifications are available on the Site. We recommend that Customers review the specifications prior to making a purchase.
2. Where Designs are only available with Colourway variations, after purchase of a Design all Colourway variations will be removed from the Site.
3. Prices are displayed on the Site and are exclusive of GST and other taxes.
4. TPPR reserves the right to vary prices at any time without prior notice. Changes will be effective immediately upon uploading to the Site.
5. Once Your payment has been processed You will receive an email with a download link to the file that contains the Design. The link is also available in the Customer’s account.
6. IMPORTANT: To maintain the integrity of the exclusivity of our sales, PPR only maintains a copy of the file for 30 days after the purchase date. Customer’s must ensure that the file is saved to the Customer’s own device because after this time the file will no longer be available.
Customer Claims
1. Refunds are not available for a change of mind.
2. Subject to Clause 9, PPR will provide refunds to Customers in accordance with its obligations under the Australian Consumer Law to the extent that it applies. Customers must notify PPR of any inaccuracy with the Technical Description of the Design within seven days of the Customer’s receipt of the Design.
3. Customers agree to comply with the reasonable requests of PPR to deal with a Customer’s claim.
The Site is provided “as is”
1. Access to the Site is granted by PPR to all Users on an “as is” basis.
